PERSONAL ONLINE BANKING AGREEMENT AND DISCLOSURE STATEMENT

This agreement states the terms and conditions that apply when you use the Hendricks County Bank and Trust Company, (herein referred to as "Bank") Internet Banking service. These terms and conditions are in addition to those that apply to any accounts you have with us or any other services you obtain from us. You must also follow all of our instructions and procedures applicable to the services covered by this agreement. “You”, “I” and "your" mean each person who establishes an Internet Banking Customer Account with us or who uses or is authorized to use an Internet Banking Identification Number ("ID") and "Password" or other means of access we establish or approve. The term "Internet Banking" means our Personal Online Banking and Bill Payment services that you access over the Internet by use of a personal computer and modem and/or other means we authorize or allow. Personal Online Banking allows you to make payments, transfer funds, access accounts, obtain information and perform other transactions. Bill Payment allows you to initiate a payment from your designated Bank checking account to payees, which you have authorized in advance.

(A)

INTERNET ACCOUNT OWNER INFORMATION

You must be the owner of this account(s) and you must have signature authority to be able to view the account(s).

(B)

INTERNET BANKING ID AND PASSWORD

To access our Internet Banking service, you must use the ID and/or other means of access we establish or provide for your Internet Banking Customer Account together with a Password. It is your responsibility to safeguard the ID and Password we provide. Anyone to whom you give your Internet Banking ID and Password or other means of access will have FULL access to your accounts even if you attempt to limit that person's authority. Hendricks County Bank and Trust Company will NEVER contact you to ask for your user ID or password. If you are approached by anyone to provide your user ID and Password, DO NOT PROVIDE THIS INFORMATION. Contact the bank immediately, as you could be the victim of attempted fraud or identity theft. You will find contact information in section (J) below.

(C)

INTERNET SECURITY

At Hendricks County Bank and Trust Company, we understand the importance of the responsibility that our customers have entrusted to us. Hendricks County Bank and Trust Company is proud of the sophisticated level of data security and privacy supplied to its Internet Banking clients and their accountholders. Data security is provided on multiple levels: by firewall, intrusion detection software, network monitoring, application level security and company policy.

Firewall: A firewall serves as a security gate between the Internet and our network. By intercepting Internet data packets first, the firewall ensures that only packets permitted by our rule set may be passed beyond the public Internet to our secure web commerce server, and ultimately to the Internet Banking application.

Application Level Security: Unique user codes and passwords identify authorized accountholders. The combined effect of ITI security and network security allow clients to access only mainframe or other networked host areas permitted through Internet Banking application.

Secure Socket Layer: We use the SSL (secure socket layer) encryption technology for everything you do in the Internet Banking system. Your browser automatically activates this technology when it attempts to connect to our Service. Whenever SSL is securing your communications, the browser will typically indicate the “secure session” by changing the appearance of a small icon of a padlock at the bottom of the screen from open to locked. What this means is that your communications are scrambled from your browser to our servers at all times so that no unauthorized party can read the information as it is carried over the Internet.

(D)

INTERNET BANKING TRANSACTIONS

You or someone you have authorized by giving them your Internet Banking ID and Password or other means of access (even if that person exceeds your authority), can instruct us to perform the following transactions.

  • Make transfers between your qualifying accounts to the extent authorized;
  • Obtain information that we make available about your qualifying accounts; and
  • Obtain other services or perform other transactions that we authorize.

(E)

LIMITS ON INTERNET BANKING TRANSACTIONS

You must have enough money or credit in any account from which you instruct us to make a payment or transfer. If any of your qualifying accounts are savings accounts, certain types of withdrawals from those accounts, including payments and transfers, are limited to a total of no more than 6 in any specific period. The specified period for savings accounts is the monthly statement period. The kinds of withdrawals covered by this limitation are those made by means of preauthorized or automatic transfers and payments or telephone agreement. You also agree to the Terms & Conditions of Your Deposit Account that you received when you opened your deposit account and any subsequent amendments to that agreement.

(F)

YOUR LIABILITY AND INDEMNITY

You warrant that you will perform your obligations under this Agreement consistent with all applicable Bank rules and regulations and that all information that you provide us is accurate, timely, and has been authorized by you, and in the event that you breach any of the forgoing warranties, you agree to indemnify Bank against any loss, liability, or expense. BILL PAYMENT SERVICES

1. HOW TO SET UP PAYEES/PAYMENTS

Complete a bill paying enrollment form. IF YOU WANT TO ADD A NEW PAYEE, USE “SET UP ACCOUNTS/PAYEE” ON THE INTERNET OR SPEAK TO A SERVICE REPRESENTATIVE. You may add a new fixed payment to a Payee, only if the Payee is on your authorized list of payees, and by accessing the Service and entering the appropriate information. Most other additions, deletions, or changes can be made in writing or by using the Service. The Bank reserves the right to refuse the designation of a Payee for any reason. Each Payee accepted by the Bank will be assigned a payee code. You may pay almost any payee you wish. There are several restrictions: 1) The merchant must be located in the United States; 2) Payments may not be remitted to tax authorities or government and collection agencies; 3) Payments may not be remitted to security companies such as Ameritrade for stock purchases or trade taxing authorities and 4) Court directed payments are unauthorized (Alimony, child support, or other legal debts). Don’t forget you can use this system to send payments to your son/daughter in college, pay your local orthodontist, credit cards, charitable donations, etc. A merchant is defined as anybody (company or individual) to whom you want to send money.

The Bank is not responsible if a Bill Payment can not be made due to incomplete, incorrect, or outdated information provided by you regarding a Payee or if you attempt to pay a Payee that is not on your Authorized Payee list.

2. THE BILL PAYING PROCESS

a. Single Payments

A single payment will be processed on the business day (generally Monday through Friday, except certain holidays) that you designate as the payment’s process date, provided the payment is submitted prior to the daily cut-off time on that date. The daily cut-off time, which is controlled by the bank, is currently 2 p.m. CST. A single payment submitted after the cut-off time on the designated process date will be processed on the following business day. If you designate a non-business date (generally weekends and certain holidays) as the payment’s process date, the payment will be processed on the first business day following the designated process date.

b. Recurring Payments
When a recurring payment is processed, it is automatically rescheduled by the system. Based upon your selected frequency settings for the payment, a process date is calculated for the next occurrence of the payment. If the calculated process date is a non-business date (generally weekends and certain holidays), it is adjusted based upon the following rules:

If the recurring payment’s “Pay Backward” option is selected, the process date for the new occurrence of the payment is adjusted to the first business date prior to the calculated process date.
If the recurring payment’s “Pay Backward” option is not selected (or if the “Pay Backward” option is not available), the process date for the new occurrence of the payment is adjusted to the first business date after the calculated process date.
Note: If your frequency settings for the recurring payment specify the 29th, 30th, or 31st as a particular day of the month for processing and that day does not exist in the month of the calculated process date, then the last calendar day of that month is used as the calculated process date.

For Single and Recurring Payments, YOU MUST ALLOW AT LEAST FIVE (5) BUSINESS DAYS, PRIOR TO THE DUE DATE, for each bill payment to reach the Payee. Any bill payment can be changed or canceled, provided you access the Bill Pay Service prior to the cut-off time on the business day prior to the business day the bill payment is going to be initiated.

You agree to have available and collected funds on deposit in the account you designate in amounts sufficient to pay for all bill payments requested, as well as, any other payment obligations you have to the Bank. The Bank reserves the right, without liability, to reject or reverse a bill payment if you fail to comply with this requirement or any other terms of this agreement. If you do not have sufficient funds in the Account and the Bank has not exercised its right to reverse or reject a bill payment, you agree to pay for such payment obligations on demand. You further agree the Bank, at its option, may charge any of your accounts with the Bank to cover such payment obligations.

The Bank reserves the right to change the cut-off time. You will receive notice if it changes.

c. Bill Pay Liability
You are solely responsible for controlling the safekeeping of, and access to, your password. You are liable for all transactions you make or that you authorize another person to make even if that person exceeds his or her authority. If you want to terminate another person’s authority, you must notify the Bank and arrange to change your password. You will be responsible for any Bill Payment request you make that contains an error or is a duplicate of another Bill Payment. The Bank is not responsible for a Bill Payment that is not made if you did not properly follow the instructions for making a Bill Payment. The Bank is not liable for any failure to make a Bill Payment if you fail to promptly notify the Bank after you learn that you have not received credit from a Payee for a Bill Payment. The Bank is not responsible for your acts or omissions or those of any other person, including, without limitation, any transmission or communications facility, and no such party shall be deemed to be the Bank’s agent. In any event, the Bank will not be liable for any special, consequential, incidental, or punitive losses, damages, or expenses in connection with this Agreement or the Service, even if the Bank has knowledge of the possibility of them. The Bank is not liable for any act, failure to act or delay in acting if it is caused, in whole or in part, by any cause beyond the Bank’s reasonable control.
